Hardware Change from 2-SB1's with 730 going to single 840

We are currently running SAP 4.6C, all the AS400's are running V4R5.
We have two SB1 App Servers, 12way with 8gig memory. The Database
Server is a 730, 8way with 13gig memory. We have about 800 users. We
are running average dialog response of .9 and do not appear to be
pushing the CPU limits on any of the boxes. Our DB server is running
around 35% average CPU and the App Servers are running 20%. The App
Servers are connected via opt-connect to the database server. We are
running about 300,000 dialog transactions per day across both app
servers.

Now...IBM is offering a upgrade at a very reasonable price. They are
proposing to upgrade the frame of the 730 to a 840. We would keep the
same DASD but the 730 unit would be stripped and rebuilt into a 840.
This 840 would be a 12way with 32gig memory. We would then sell the
SB1's and go to a two tier production system.

Now comes the questions.....
1. Why wouldn't we want to upgrade?
2. Are there any gotcha's we should be aware of, like not being on V5?
3. Are there any limits to number of WP's you can have in two tier?
4. Two tier should be able to handle our load, is there any good way
to prove this?
5. What are other 840/8xx shops running as far as a load on the
system?

Any help or feedback as to what other 8xx shops are running would be
appreciated.
